National Atomic Company “Kazatomprom” JSC (the “Company” or “Kazatomprom”), legal address: 17/12 Syganak Street, Nura District, Astana, Z05T1X3, the Republic of Kazakhstan, hereby notifies the Company shareholders of its absentee Extraordinary General Meeting of Shareholders (the “Meeting”) in accordance with Articles 35-41, 43-47, 49-52 of the Law of the Republic of Kazakhstan “On Joint Stock Companies” (the Law “On Joint Stock Companies”).
Date and time when the list of shareholders entitled to participate in the Meeting will be compiled: 11 September 2026 at 00:00 local time (GMT+5).
Start date for submitting absentee voting ballots: 22 September 2026.
Closing date for submitting absentee voting ballots: 6 October 2026, at 18:00 local time (GMT+5).
Date of counting the results of absentee voting: 7 October 2026 by 18:00 local time (GMT+5).
The notice of the upcoming Meeting, as well as the ballot for absentee voting will be available on the Company's website in accordance with the Law “On Joint Stock Companies” and the Company’s Charter.

The Meeting on the agenda items No.1 and 2 is convened at the initiative of the Board of Directors of Kazatomprom (Minutes No. 11/26 dated 20 August 2026). The Meeting on the agenda item No. 3 is convened at the initiative of a major shareholder of the Company – Samruk-Kazyna, holding 163,377,456 ordinary shares of the Company (decision of the Management Board of Samruk-Kazyna No.45/26 dated 18 August 2026).

Kazatomprom and State Nuclear Uranium Resource Development Company Limited (“SNURDC”) have reached an agreement on the sale of natural uranium concentrates in the form of U3O8. Kazatomprom, the seller, is expected to execute the sale to SNURDC, the buyer, via physical delivery to the Alashankou railway station (China).
SNURDC is a subsidiary of State Power Investment Corporation Limited (“SPIC”), responsible for the supply of uranium and fuel assemblies to SPIC, with a mandate to invest in research, development, and exploration of uranium ore. In December 2017, SNURDC obtained a state license to import natural uranium concentrates. In turn, SPIC is authorized by the State Council of the People’s Republic of China to conclude contracts for the transfer of technologies for the construction of third-generation nuclear power plants, including the implementation of appropriate engineering design and management. SPIC serves as a key platform for the implementation of AP1000 technologies in Westinghouse projects.
The Company’s commercial offer was accepted by SNURDC during its validity period, after which the parties jointly agreed on a draft Spot-term contract for the sale and purchase of natural uranium concentrates. The details of the transaction in terms of pricing, volumes and delivery schedules cannot be disclosed due to confidentiality terms. Furthermore, SNURDC insists on maintaining the confidentiality of transaction terms. The transaction parameters comply with current market conditions and prevailing market trends.
On concluding a major transaction in which Kazatomprom has an interest – the Сontract for the supply of natural uranium in the form of U3O8 with Uranium One Group JSC
Kazatomprom and Uranium One Group JSC (“Uranium One”) have reached an agreement on the sale of natural uranium concentrates in the form of U3O8. Kazatomprom, the seller, is expected to execute the sale to Uranium One, the buyer, via physical delivery to the Siberian Chemical Plant JSC (Russian Federation).
Uranium One is an international group of companies within the management framework of Rosatom State Corporation (“Rosatom”) as part of the International Asset Management division (which includes TENEX). The company acts as the key operator for managing Rosatom’s foreign uranium mining assets and is responsible for the strategic development of its mineral resource base abroad. Uranium One is one of the largest uranium producers in the world, consistently holding a leading position in global production rankings. Uranium One is also a shareholder in the Company’s joint ventures (JV South Mining Chemical Company LLP, JV Akbastau JSC, and Karatau LLP).

Composition of the Board of Directors of Kazatomprom
Due to the appointment of Mr. Yelzhas Otynshiyev, a member of the Company’s Board of Directors (the “Board”) representing the interests of Samruk-Kazyna JSC (the “Fund”), as Chairman of the Management Board of Kazakhstan Temir Zholy, his powers as a member of the Company’s Board will be terminated. At the initiative of the Company’s majority shareholder, Samruk‑Kazyna, the Meeting needs to review the early termination of Mr. Otynshiyev’s tenure. To replace him, the Meeting will consider the appointment of Zhandos Kairgeldi, co-Managing Director for Strategy and Asset Management at the Samruk-Kazyna, to the Company’s Board as a representative of the Fund’s interests for the remainder of the current Board’s term.
Materials for the Meeting according to the agenda will be available to shareholders no later than ten days before the date of the Meeting at the Company’s headquarters in accordance with clause 4 of Article 44 of the Law “On Joint Stock Companies”. Upon request, physical copies of the Meeting materials will be sent within three business days of receipt of such a request. The costs of making copies of documents and delivering documents are borne by the shareholder. Requests from the Company’s shareholders must be received at the actual address of the Company in the way prescribed by the legislation of the Republic of Kazakhstan.
The procedure for conducting absentee voting:
- When voting by an absentee ballot, a shareholder shall indicate his/her full name/name of a legal entity, the number of voting shares, and shall choose one of the voting options.
- An absentee ballot shall be signed by a shareholder – an individual (or a representative of a shareholder – an individual), who shall indicate his/her identity document (ID / passport number, date of issue, issuing authority, and individual identification number (IIN)). A shareholder shall also provide a copy of his/her identity document.
- If on behalf of shareholders – legal entities, their sole executives take part in the Meeting, they shall submit notarized copies of documents confirming their election or appointment to their role, as well as a copy of an identity document.
- An absentee voting ballot of a shareholder – a legal entity shall be signed by its CEO (a representative of a shareholder – a legal entity).
- An absentee voting ballot which is not signed by a shareholder – an individual, or the CEO of a shareholder – a legal entity or a representative of a shareholder – an individual, or a representative of a shareholder – a legal entity shall be deemed invalid.
- Only one voting option shall be marked in the ballot.
- The absentee ballot shall be received by the Company or delivered by courier to the Kazatomprom’s office by 18:00 local time (GMT+5) on 6 October 2026 at the following address: 17/12 Syganak Street, Nura District, Astana, Z05T1X3, Republic of Kazakhstan.
- In case of signing a ballot for absentee voting by the representative of the shareholder, the ballot for absentee voting is followed by the copy of power of attorney or other document confirming the powers of the shareholder’s representative.
- For vote counting, only those votes on the agenda items are counted where a shareholder (or a representative of a shareholder) followed the procedure of voting prescribed in the ballot, and only one of the voting options was marked.
- The Meeting may consider and make decisions on the agenda items only if the shareholders (or representatives of shareholders), included in the list of shareholders entitled to participate and vote, and owning in total fifty or more percent of voting shares of the Company, were registered as of the date or on the closing date for submission of ballots.
- The list of the Company’s shareholders entitled to participate and vote at the Meeting is compiled by the Central Securities Depository JSC based on the data of Kazatomprom’s shareholders register system.
- If, after compiling a list of shareholders entitled to participate and vote at the Meeting, a person included in such a list alienated his/her voting shares, the right to participate in the Meeting is transferred to a new shareholder. In such a case, the documents confirming the ownership of the shares shall be submitted.
- Any shareholder of Kazatomprom has the right to participate in the management of the Company in the manner prescribed by Law of the Republic of Kazakhstan “On Joint-Stock Companies” and the Charter of the Company.
- The holders of Global Depositary Receipts are entitled to vote at the Meeting on behalf of the beneficial owners in relation to the deposited shares, provided that identification and other information required by the applicable Kazakhstan law on such beneficial owners, has been submitted to the Central Securities Depository JSC through the Depositary (Citibank N.A.).
